1. Agreement Overview
These Terms of Service ("Terms") govern the provision of web development services ("Services") by Nikolas Sapalidis ("Developer", "I", "me") to you ("Client", "you"). By engaging my services, you agree to these Terms.
Simple Version: When you hire me to build your website, these are the rules we both agree to follow. Everything is designed to be fair and protect both of us.
2. Services Provided
2.1 Scope of Work
I provide custom web development services including:
- Website design and development (landing pages, multi-page websites, business sites)
- Mobile-responsive design and implementation
- Contact form setup and integration
- Google Maps integration
- Basic SEO optimization (meta tags, descriptions)
- Website deployment and hosting setup assistance
- Bilingual website development (English/Greek)
2.2 What's Included
Each project includes:
- Agreed number of pages and sections as specified in proposal
- Mobile-responsive design (works on phone, tablet, desktop)
- Specified number of revision rounds
- All source code and files (you own everything after final payment)
- Deployed, live website
- 30 days of post-launch bug fix support
2.3 What's NOT Included (Unless Specified)
- Domain registration (you purchase separately)
- Ongoing hosting fees
- Content creation (text, images - you provide)
- Logo design (available as add-on)
- Advanced features beyond agreed scope
- Maintenance after 30-day support period
3. Project Process
3.1 Timeline
Standard delivery is 5-7 days from deposit receipt for basic projects, 7-10 days for e-commerce projects. Timeline starts when:
- Deposit is received
- You provide all required content (text, images, branding)
- Project scope is finalized in writing
3.2 Your Responsibilities
To ensure timely delivery, you agree to:
- Provide all content within 5 business days of project start
- Respond to feedback requests within 3 business days
- Provide clear, consolidated feedback (not piecemeal changes)
- Make payments according to agreed schedule
- Review deliverables promptly
3.3 Delays
If you do not provide required materials within 14 days, I may pause the project. If the project is paused for more than 30 days, the deposit may be forfeited and the project considered cancelled.
4. Payment Terms
4.1 Payment Structure
All projects require 50% deposit upfront, 50% upon completion. This is non-negotiable.
Payment schedule:
- Deposit (50%): Due before any work begins. Non-refundable once work starts.
- Final Payment (50%): Due upon completion and your approval of the final website.
4.2 Accepted Payment Methods
- Bank transfer (EUR)
- Revolut
- Cryptocurrency (USDC/USDT for international clients)
4.3 Late Payments
Final deliverables and source files will not be transferred until final payment is received. Late payments (>7 days past due) may incur a 5% late fee per week.
4.4 Refund Policy
- Before work begins: Full deposit refund available
- After work begins: Deposit is non-refundable
- After 50% completion: You owe 75% of total project cost if cancelled
- After final approval: No refunds
5. Revisions & Changes
5.1 Included Revisions
Each package includes a specific number of revision rounds:
- Landing Page: 1 round
- Basic Website: 2 rounds
- Business Website: 3 rounds
- E-commerce: 3 rounds
A "revision round" means you review the entire site and provide all feedback at once.
5.2 What Counts as a Revision
Revisions include:
- Text changes
- Image swaps
- Color adjustments
- Layout tweaks within original design concept
- Minor functionality adjustments
5.3 What's NOT a Revision (Scope Change)
These require additional payment:
- Adding new pages beyond agreed scope
- Complete design overhaul
- New features not in original proposal
- Integration of third-party services not discussed
5.4 Additional Revisions
Beyond included rounds: €30 per additional revision round.
5.5 Scope Changes
Any changes to the agreed project scope require written approval and will incur additional costs. I will provide a cost estimate before proceeding with scope changes.
6. Ownership & Intellectual Property
6.1 Your Ownership
Upon receipt of final payment, you own:
- All custom code written for your project
- All design files and assets
- Full rights to modify, update, or transfer the website
6.2 My Rights
I retain the right to:
- Display the project in my portfolio
- Use the project as a case study or example
- Mention you as a client (unless you request otherwise)
6.3 Third-Party Components
Projects may include third-party libraries, frameworks, or tools (e.g., React, Font Awesome, Google Fonts). These retain their original licenses. You receive a license to use them as part of your website.
6.4 Your Content
You retain all rights to content you provide (text, images, logos, videos). You warrant that you have the legal right to use all provided content and that it does not infringe on any third-party rights.
7. Support & Maintenance
7.1 Post-Launch Support (30 Days)
Included free for 30 days after launch:
- Bug fixes (issues that prevent the site from working as agreed)
- Technical support via email
- Assistance with minor content updates
7.2 What's Covered
- Broken links
- Forms not working
- Mobile display issues
- Browser compatibility problems
7.3 What's NOT Covered
- Content changes or updates
- New features or pages
- Issues caused by your modifications
- Problems from third-party services (hosting, domains)
- Training or "how-to" requests beyond basic guidance
7.4 After 30 Days
Support available at €40/hour (1-hour minimum) or via retainer agreement.
8. Warranties & Limitations
8.1 My Warranties
I warrant that:
- All delivered work is original and does not infringe third-party intellectual property rights
- The website will function as specified for 30 days post-launch
- Work will be performed with professional care and skill
8.2 No Warranty For
- Issues caused by modifications you make after delivery
- Third-party service failures (hosting, domains, email providers)
- Security breaches due to weak passwords or compromised credentials
- Compatibility with future browser or device updates
8.3 Limitation of Liability
My total liability for any claim related to the Services is limited to the amount you paid for the project. I am not liable for:
- Indirect, consequential, or incidental damages
- Lost profits or business opportunities
- Data loss
- Business interruption
9. Cancellation & Termination
9.1 Your Right to Cancel
You may cancel at any time with written notice. Refund policy:
- Before work begins: Full deposit refund
- After work begins but <50% complete: Deposit forfeited, no additional payment required
- After 50% completion: You owe 75% of total project cost
- After 75% completion: You owe 100% of project cost
Upon cancellation, you receive all work completed to date.
9.2 My Right to Terminate
I may terminate the agreement if:
- You fail to provide required content for more than 30 days
- You fail to make payments as agreed
- You engage in abusive or harassing behavior
- You request illegal or unethical work
If I terminate for your breach, deposit is forfeited. If I terminate for other reasons, deposit is refunded.
10. Confidentiality
I will keep confidential any sensitive business information you share during the project. This does not include:
- Information that is publicly available
- Information you authorize me to share
- Information required to be disclosed by law
- General knowledge or skills gained during the project
11. Dispute Resolution
11.1 Good Faith Negotiation
If a dispute arises, we agree to first attempt resolution through direct, good-faith negotiation.
11.2 Mediation
If negotiation fails, we agree to attempt mediation before pursuing legal action.
11.3 Governing Law
These Terms are governed by the laws of Greece. Any legal proceedings will be conducted in Athens, Greece.
12. General Terms
12.1 Changes to Terms
I may update these Terms from time to time. Updated Terms apply to projects started after the update date. Ongoing projects continue under the Terms agreed at project start.
12.2 Communication
All project-related communication will be via email unless otherwise agreed. Important agreements must be in writing (email counts).
12.3 Force Majeure
Neither party is liable for delays or failures caused by circumstances beyond reasonable control (natural disasters, internet outages, pandemics, etc.).
12.4 Severability
If any part of these Terms is found to be unenforceable, the rest remains in effect.
12.5 Entire Agreement
These Terms, together with the project proposal/contract, constitute the entire agreement between us and supersede any prior discussions or agreements.
